You acknowledge that:
AI outputs may not always be accurate or error‑free
Outputs are provided for assistance, not guarantees
Business decisions made using our Services are your responsibility
We do not guarantee specific business results, revenue, or performance outcomes.
5. Ownership & Intellectual Property
Prismate retains ownership of its proprietary tools, frameworks, workflows, and internal systems
Upon full payment, clients receive a non‑exclusive license to use client‑specific deliverables
Clients may not copy, resell, or redistribute Prismate systems without written consent
6. Confidentiality
Both parties agree to keep confidential information private unless disclosure is required by law or agreed to in writing. This obligation survives termination.
7. Payments & Fees
Fees are due as agreed
Late payments may result in service suspension
Clients are responsible for applicable taxes
Payments are non‑refundable unless stated otherwise in writing
8. Third‑Party Services
Our Services may rely on third‑party platforms (e.g. hosting, communication APIs, analytics tools). Prismate is not responsible for outages, changes, or failures caused by third‑party providers.
9. No Guarantees
Services are provided “as is” and “as available.” We do not guarantee results, leads, conversions, or revenue.
10. Limitation of Liability
To the maximum extent permitted by law:
Prismate’s total liability is limited to the fees paid for the Services
Prismate is not liable for indirect, incidental, or consequential damages
11. Termination
We may terminate services for non‑payment or violations of these Terms
Clients may terminate services by providing written notice
Outstanding payments remain due upon termination
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of India.
Any disputes shall be resolved through binding arbitration in Uttarakhand, India.
